Terms and Conditions.

These terms & conditions together with the attached quotation form the agreement (“Agreement”) between you the customer (“you/your”) and Vision Installs Limited (Company registration No. 09273913) whose registered office is at No 1 Charlotte Mews, Pavilion Place, Exeter,Devon, EX2 4HA (“Vision/we/us”).

These terms will apply to the Agreement unless changes to these terms are agreed by both parties in writing.

YOUR STATUTORY RIGHTS ARE NOT AFFECTED BY OUR TERMS AND CONDITIONS AS SET OUT BELOW.

Availability

Our Agreement is subject to availability of the products to be sold or services to be rendered. In the event of unavailability, Vision shall be entitled to cancel the Agreement at any time and if we do so our liability to you will be limited to us having to return any money paid to Vision which we will do immediately. If payment has been made to Vision by somebody else on your behalf (e.g. a Credit Card Company or a Bank) the repayment shall be made to them.

Delivery

If we have given you a date for delivery of products or for services to be carried out, we both agree that this is an estimate only and that we will not be liable to you if the delivery date is not met provided that we deliver the products or perform the services within a reasonable period of time. Where we are only delivering products to you and are not also providing installation services, we will deliver the products to the nearest entrance to the delivery address at ground floor level only. It shall be your responsibility to get the products from that point to the part of your house or delivery address that you require them. Delivery dates may not be altered by you within 24 hours of the delivery date. We reserve the right to make a charge for any delivery which is abortive due to any act or omission by you.

Risk passes on delivery

Once we have performed delivery as set out above the responsibility for the products passes from us to you, including the risk of them becoming damaged/destroyed. It shall be your responsibility to inspect the goods upon delivery to ensure that they are in a satisfactory condition. We will not consider any claims for damaged goods unless the claim has been notified to us within 48 hours of delivery and provided that the fitting or installation of them has not already commenced. Any items already fitted will NOT be considered for replacement.

Quality

Where Vision are providing installation or fixing services we shall be entirely responsible for the quality and other provisions of such service. We will carry out such services in a good workmanlike manner and ensure that the goods supplied are fit for their intended purposes. The installation is covered by a 2 year guarantee commencing on the date of completion of the installation. In the event of faulty workmanship within 2 years of the date of installation, Vision will arrange to correct the problem free of charge, PROVIDED THAT you have followed our oral or written instructions on the use and maintenance of any materials or products we have installed and that you have notified us immediately on discovery of the alleged fault. With regards any goods delivered by us as part of the Agreement, we warrant that on delivery such goods will be of satisfactory quality within the meaning of the Sale of Goods Act 1979 and be reasonably fit for their intended purpose. Vision will further endeavour to transfer to you the benefit of any manufacturers’ warranty or guarantee in relation to the delivered goods.

Pre-installation requirements

Where Vision are providing installation services it shall be your responsibility to ensure that the place where the installation services are to be provided are safe and have been prepared ready for the installation works to commence and offer reasonable access. In the event that you have failed or omitted to complete any agreed pre-installation works then we may choose to decline to proceed with the installation services until you have undertaken the pre-installation works. Alternatively we may carry out the said works with your permission at your expense and payment will be due from you immediately upon completion of these additional works.

Payment

All payments shall be made in accordance with the payment schedule set out in the Quotation. We both agree that the terms as to payment are fundamental to the Agreement and that any breach of those terms by you would entitle us to treat the Agreement as being breached. We would then be entitled to claim from you an amount equal to the amount of money we have lost as a result of your breach of the terms as to payment. Unless stated otherwise all prices quoted are exclusive of VAT which shall be added at the prevailing rate.

Retention of title

 
Vision remains the legal owner of the goods until payment in full has been made for them. If you obtain possession of the goods before making full payment for them you agree to hold them on our behalf until full payment has been made when you will then become the legal owner.
 

Cancellation & returns policy

 
Goods supplied as a special or bespoke order cannot be cancelled and will not be refundable. Defective or damaged items must be notified to us within 24 hours of receipt. On our agreement, a replacement will be delivered to you free of charge. We will be happy to refund the purchase price in full if the return results from an error made by us. To make a return, please give the reason for the return and wrap the package securely. Goods are to be accompanied by a note indicating your name, the date of order and the order number.
 

Limitation of liability

 
Except as may be implied by law, in the event of any breach by Vision of the Agreement the remedies available to you shall be limited to damages, which shall in no circumstances exceed the contract price, by you to us. Vision shall under no circumstances be liable for any indirect or consequential loss or damage. Nothing in these terms shall operate to exclude or limit Vision’s liability for death or personal injury resulting from our negligence.
 

Variations

 
We make every effort to accurately reflect the appearance of products in our literature and on our website. However, there will invariably be fluctuations across the products and components on offer. This is partly due to the fact that many of the components are natural materials and therefore uniform colour, hue, size, shape, texture and/or feel can vary. We are unable to guarantee that the colour, size and shape you will see through our website will accurately reflect the exact colour of the product on one or more of the components of goods delivered and no warranty or guarantee shall be expressed or implied in this Agreement in this regard.
 

Force majeure

 
We shall have no liability to you if we are prevented from, or delayed in performing, our obligations under the Agreement or from carrying on our business by acts, events, omissions or accidents beyond our reasonable control, including (without limitation) strikes, lock-outs or other industrial disputes, failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.
